End User License Agreement

This agreement describes the baseline license terms for use of the CogentQAI software and related generated outputs during the current V1 phase.

By using CogentQAI, you agree to this End User License Agreement. If you do not agree, you should discontinue use of the software and related services.

1. License Grant

Subject to this agreement, CogentQAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software and generated materials made available through the service for your internal evaluation, development, and permitted business or personal use.

This license is provided only for the scope expressly allowed by this agreement and does not transfer ownership of the software or service.

2. Permitted Use

You may use CogentQAI to assess hardware suitability, generate stack configurations, review generated project assets, and support your own AI development workflows.

You may adapt generated outputs for your own projects where permitted by applicable law and any accompanying notices, provided that your use remains consistent with this agreement and any third-party license obligations.

3. Prohibited Use

You may not reverse engineer, decompile, disassemble, or attempt to extract source code from restricted portions of the service except to the extent such limits are prohibited by law.

You may not misuse the service, circumvent technical restrictions, remove proprietary notices, use the software for unlawful activity, or access the service in a way that degrades performance or compromises security.

4. No Resale or Redistribution

You may not sell, sublicense, lease, distribute, publish, or commercially resell CogentQAI or any part of the hosted service unless the operator has expressly authorized that use in writing.

Redistribution of generated outputs may be subject to separate rules depending on included third-party tools, templates, or dependencies. You are responsible for checking those downstream obligations.

5. Updates and Modifications

CogentQAI may release updates, revisions, patches, or feature changes at any time. These updates may alter functionality, interface details, generated outputs, or compatibility expectations.

Continued use of the software after updates or modifications may be treated as acceptance of the revised version of the service or agreement where legally permitted.

6. Termination

This license may terminate automatically if you breach this agreement. The operator may suspend or terminate access where necessary to protect the service, comply with law, or address misuse.

Upon termination, you must stop using the service to the extent required by law or written notice, except for materials you may lawfully retain under separate rights that survive termination.

7. No Warranty

CogentQAI is licensed and provided on an "as is" and "as available" basis, without warranties of any kind to the maximum extent permitted by law.

No guarantee is made that the software will be uninterrupted, error-free, secure, fit for a particular purpose, or suitable for any specific deployment, compliance, or commercial use case.

8. Limitation of Liability

To the maximum extent permitted by law, the operator will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the software, generated outputs, or inability to use the service.

Any liability that cannot lawfully be excluded will be limited to the minimum extent permitted by applicable law.

Review Status

This agreement is a professional placeholder for V1 product readiness. Final legal review is still required before production or commercial rollout.
